1. Introduction and Acceptance

Welcome to PLANit (“the App”, “our App”, “we”, “us”, or “our”). These Terms of Service (“Terms”, “Agreement”) constitute a legally binding agreement between you (“User”, “you”, or “your”) and PLANit Solutions LLC (“Company”, “we”, “us”, or “our”) governing your access to and use of the PLANit mobile application and all related services.

BY DOWNLOADING, INSTALLING, ACCESSING, OR USING THE APP, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE THE APP.

We reserve the right to modify these Terms at any time. Continued use of the App after any modifications constitutes acceptance of the updated Terms. We will notify users of material changes through the App or via email.

2. Eligibility and Account Registration

2.1 Age Requirements

You must be at least 13 years of age to use this App. If you are between 13 and 18 years old (or the age of majority in your jurisdiction), you may only use the App with the consent and supervision of a parent or legal guardian who agrees to be bound by these Terms.

2.2 Account Creation

To access certain features, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security and confidentiality of your login credentials
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access or security breach

2.3 Platform Availability

PLANit. is available on iOS (iPhone and iPad running iOS 17 or later) and Android. Feature availability may vary by platform and version. Apple Watch integration is supported via HealthKit on iOS, and Health Connect is supported on Android.

2.4 Account Restrictions

You may not:

• Create more than one personal account
• Share your account credentials with others
• Use another person's account without authorization
• Create accounts using automated means or false identities

3. Description of Services

3.1 Core Features

PLANit. provides goal tracking, planning, productivity, and personal development services including:

• Personal goal setting and tracking
• Smart to-do lists and task management
• AI-powered planning assistance and recommendations
• Community features and social sharing
• Journal and reflection tools
• Progress Hub with heatmaps, rings, and analytics
• Calendar integration
• Focus sessions and productivity tools
• Skill development and growth tools
• Flexible goal management
• Professional growth tracking tools
• Academic planning and course management
• PLANit Score gamification system

3.2 AI-Powered Features

The App includes artificial intelligence features that provide suggestions, generate content, and assist with planning. These AI features:

• Are provided for informational and assistive purposes only
• Should not be relied upon as professional advice
• May not always be accurate or appropriate for your situation
• Are subject to improvement and may change over time

3.3 Service Modifications

We reserve the right to modify, suspend, or discontinue any aspect of the App at any time, with or without notice. We are not liable for any modification, suspension, or discontinuation of services.

4. User Conduct and Prohibited Activities

4.1 Acceptable Use

You agree to use the App only for lawful purposes and in accordance with these Terms. You are responsible for all content you create, share, or transmit through the App.

4.2 Prohibited Activities

You agree NOT to:

• Post, upload, or share content that is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable
• Share content that infringes intellectual property rights of others
• Post content containing personal information of others without consent
• Distribute spam, chain letters, or unsolicited promotional material
• Share misleading, fraudulent, or deceptive content

Technical Violations:

• Attempt to gain unauthorized access to the App, other accounts, or computer systems
• Use automated scripts, bots, or other means to access or interact with the App
• Interfere with or disrupt the App's servers, networks, or infrastructure
• Reverse engineer, decompile, or disassemble any part of the App
• Circumvent any security features or access controls
• Introduce viruses, malware, or other harmful code

Community Violations:

• Harass, bully, intimidate, or threaten other users
• Impersonate any person or entity
• Engage in any activity that could harm minors
• Promote violence, discrimination, or illegal activities
• Manipulate or artificially inflate engagement metrics

4.3 Enforcement

We reserve the right to investigate and take appropriate action against anyone who violates these Terms, including removing content, suspending or terminating accounts, and reporting to law enforcement authorities.

5. User Content and Intellectual Property

5.1 Your Content

You retain ownership of all content you create and submit to the App (“User Content”). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free, sublicensable license to use, reproduce, modify, adapt, publish, translate, and distribute your content solely for the purpose of operating and improving the App.

5.2 Content Responsibility

You are solely responsible for your User Content. You represent and warrant that:

• You own or have the necessary rights to your content
• Your content does not violate any third-party rights
• Your content complies with all applicable laws and these Terms

5.3 Our Intellectual Property

The App, including all software, designs, text, graphics, logos, icons, images, audio, video, and other materials, is owned by PLANit Solutions LLC and is protected by copyright, trademark, and other intellectual property laws.

5.4 Trademarks

“PLANit”, the PLANit logo, and all related names, logos, and slogans are trademarks of PLANit Solutions LLC. You may not use these trademarks without our prior written permission.

5.5 Feedback

Any feedback, suggestions, or ideas you provide about the App become our property. We may use such feedback without any obligation to compensate you.

6. Privacy and Data Protection

6.1 Privacy Policy

Your use of the App is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand how we collect, use, and protect your personal information.

6.2 Data Processing

By using the App, you consent to the collection, processing, and storage of your data as described in our Privacy Policy. This includes:

• Personal information you provide during registration
• Content you create within the App
• Usage data and analytics
• Device information and identifiers

6.3 Data Security

We implement industry-standard security measures to protect your data. However, no method of electronic transmission or storage is 100% secure. You acknowledge and accept the inherent security risks of providing information online.

6.4 Third-Party Services

The App may integrate with third-party services (e.g., Apple Sign-In, Google Sign-In, calendar services). Your use of these services is subject to their respective terms and privacy policies.

7. Subscriptions and Payments

7.1 Free and Premium Features

The App offers both free features and premium subscription plans. The free tier includes up to 3 goals, 5 AI sessions per week, and 10 journal entries per month. Premium features require an active subscription for unlimited access.

7.2 Subscription Terms

• Subscriptions automatically renew unless canceled before the renewal date
• Subscription fees are charged through your Apple ID account or Google Play account
• Prices may vary by region and are subject to change
• No refunds for partial subscription periods unless required by law

7.3 Billing

All billing is handled through Apple's App Store or Google Play Store. We do not have access to your payment information. For billing inquiries, please contact Apple Support or Google Play Support.

7.4 Cancellation

You may cancel your subscription at any time through your Apple ID settings or Google Play subscription settings. Cancellation takes effect at the end of the current billing period. You will retain access to premium features until the subscription expires.

7.5 Free Trials

If offered, free trials convert to paid subscriptions unless canceled before the trial ends. Trial eligibility is determined at our sole discretion.

8. Disclaimers and Limitations of Liability

8.1 “AS IS” Disclaimer

THE APP IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO: MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY OR COMPLETENESS OF CONTENT, AND UNINTERRUPTED OR ERROR-FREE OPERATION.

8.2 No Professional Advice

The App does not provide professional advice of any kind. Content and features are for informational and personal productivity purposes only. Do not rely on the App for:

• Medical, health, or mental health advice
• Legal or financial advice
• Professional or career guidance
• Any decision requiring professional expertise

8.3 AI Limitations

AI-generated content and suggestions may contain errors, inaccuracies, or inappropriate recommendations. Always use your own judgment and consult qualified professionals when needed.

8.4 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PLANIT TECHNOLOGIES AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES; LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES; ANY DAMAGES ARISING FROM YOUR USE OR INABILITY TO USE THE APP; ANY UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA; OR ANY THIRD-PARTY CONTENT OR CONDUCT.

8.5 Maximum Liability

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR $100 USD, WHICHEVER IS GREATER.

8.6 Jurisdictional Limitations

Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

9. Indemnification

You agree to indemnify, defend, and hold harmless PLANit Solutions LLC, its officers, directors, employees, agents, licensors, and suppliers from and against all claims, losses, expenses, damages, and costs, including reasonable attorneys' fees, arising from: your use of the App; your User Content; your violation of these Terms; your violation of any third-party rights; your violation of any applicable laws or regulations; and any dispute between you and another user.

We reserve the right to assume exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with our defense.

10. Termination

10.1 Termination by You

You may terminate your account at any time by:

• Using the account deletion feature in the App
• Contacting us at support@getplanitnow.com

10.2 Termination by Us

We may suspend or terminate your account at any time, with or without cause, and with or without notice, including for:

• Violation of these Terms
• Fraudulent or illegal activity
• Extended periods of inactivity
• At our sole discretion for any reason

10.3 Effect of Termination

Upon termination:

• Your right to use the App immediately ceases
• We may delete your account and all associated data
• Provisions that by their nature should survive will continue to apply
• You remain liable for any obligations incurred before termination

10.4 Data Export

Before terminating your account, you may request an export of your data. We will provide your data in a standard format within a reasonable timeframe.

11. Dispute Resolution

11.1 Informal Resolution

Before filing any formal legal action, you agree to first contact us at legal@getplanitnow.com to attempt to resolve any dispute informally. We will attempt to resolve disputes within 30 days of receiving notice.

11.2 Arbitration Agreement

If informal resolution is unsuccessful, you agree that any dispute, claim, or controversy arising out of or relating to these Terms or the App shall be resolved through binding arbitration, except where prohibited by law.

11.3 Class Action Waiver

YOU AGREE THAT ANY ARBITRATION OR LEGAL PROCEEDING SHALL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU WAIVE ANY RIGHT TO PARTICIPATE IN CLASS ACTIONS AGAINST US.

11.4 Exceptions

Either party may seek injunctive relief in any court of competent jurisdiction to prevent actual or threatened infringement of intellectual property rights.

11.5 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles.

12. General Provisions

Entire Agreement: These Terms, together with our Privacy Policy and any other legal notices published on the App, constitute the entire agreement between you and PLANit Solutions LLC.

Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

Assignment: You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign our rights and obligations without restriction.

Force Majeure: We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, acts of war, terrorism, epidemics, government actions, or internet outages.

The App is operated from the United States. If you access the App from outside the United States, you do so at your own risk and are responsible for compliance with local laws.

For users in the European Economic Area (EEA), United Kingdom, or Switzerland: we process your data in accordance with GDPR requirements; you have additional rights as described in our Privacy Policy; data transfers outside the EEA are conducted with appropriate safeguards.
